These Terms of Service ("Terms") govern your access to and use of the services provided by Talari AI ("we", "us", "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Service Description

Talari provides done-for-you AI-powered outbound services including:

• Managed social outreach and lead generation
• Email outreach (when included in your plan)
• AI-driven prospect research and personalization
• Conversation handling and meeting booking
• Sender profile management and deliverability services

2. Account Registration

To use our services, you must:

• Be at least 18 years of age
• Provide accurate and complete information during signup
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

3. Subscription and Payment

Our services are provided on a monthly subscription basis. By subscribing, you agree to:

• Pay the fees associated with your selected plan
• Provide accurate billing information
• Authorize automatic recurring monthly charges
• Pay all applicable taxes and fees

All payments are processed through Lemon Squeezy. Subscriptions automatically renew until cancelled. You can cancel anytime from your account dashboard or by emailing billing@talariai.com.

4. Pricing

• Starter Plan: $1,500/month — 1 LinkedIn account
• Multi-Channel Plan: $2,000/month — Social + Email
• Scale Plan: Starting at $2,800/month — Multiple accounts

Prices are in USD and exclusive of applicable taxes. We reserve the right to update pricing with 30 days advance notice for existing subscribers.

5. Refund Policy

We offer a 30-day money-back guarantee on your first month. You may request a full refund of your first month's subscription within 30 days of initial purchase, no questions asked. See our complete Refund Policy for details.

6. Acceptable Use

You agree NOT to use our services to:

• Send spam, harassment, or abusive content
• Promote illegal products or services
• Violate intellectual property rights
• Engage in fraudulent or deceptive practices
• Distribute malware or harmful content
• Target minors or vulnerable populations
• Violate LinkedIn's or any third-party platform's Terms of Service
• Use the service for adult content, gambling, or controlled substances

We reserve the right to suspend or terminate accounts that violate these terms without refund.

7. Service Limitations

We strive to provide reliable service but cannot guarantee:

• Specific outcomes beyond our 30-day meeting guarantee
• Uninterrupted availability of LinkedIn or third-party platforms
• Protection against LinkedIn policy changes that may affect outbound
• Specific reply rates, conversion rates, or business outcomes

8. Intellectual Property

All software, content, designs, and materials provided through our service are owned by Talari AI or our licensors. You receive a limited, non-exclusive, non-transferable license to use our service during your subscription. You may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile our systems
• Resell or sublicense our services without permission
• Remove copyright or proprietary notices

You retain ownership of your content (ICP definitions, messaging, leads). By using our service, you grant us a license to use this content solely to provide our services to you.

9. Confidentiality

Both parties agree to maintain confidentiality of business information shared during the engagement. We will not share your business strategy, ICP details, or campaign data with third parties without your consent, except as required by law.

10. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALARI AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY IN ANY MATTER ARISING OUT OF OR RELATING TO THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Talari AI from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of third-party rights
• Content you provide through our service

13. Termination

Either party may terminate the subscription with notice. We may terminate immediately if you breach these Terms. Upon termination:

• Your access to services will be discontinued
• Active campaigns will be wound down
• You remain responsible for fees incurred prior to termination
• Account data will be retained per our Privacy Policy

14. Governing Law

These Terms are governed by the laws of the jurisdiction where Talari AI is registered, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration, except for injunctive relief.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use after changes constitutes acceptance.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Talari AI regarding our services.
